Golden Griffon LLC
As of January 1, 2016, the operations of Wellness Solutions, Inc. were bifurcated into the medical services provision operations of Wellness Solutions Geriatrics, PLLC, and the separate management services operations of Geriatric Practice Management, LLC. Golden Griffon holds a 50% ownership interest in GPM and provided select services to GPM, which in turn provided services to WSG. At no time has Golden Griffon or Mr. Scesa ever owned any interest in WSG. The structure and ownership of the various companies was as in the following diagram:
As of November 8, 2018, GPM and WSG retained the services of C. Timothy Gary and Crux Strategies of Nashville, Tennessee to manage and lead a crisis situation at the companies related to what was purported to be a clinical documentation issue. This management engagement was memorialized on December 5, 2018.
During November 2018 through at least February 2019, Tim Gary and Crux Strategies led efforts at GPM and WSG with respect to matters including, but not limited to:
Press releases and news stories related to unpaid WSG employee wages contain considerable amounts of incorrect information about a sale of WSG, Mr. Scesa and actions taken to preserve WSG's operations and pay its employees all amounts owed -- information that was publicly available and known throughout WSG.
In Summer 2019, Tim Gary negotiated on behalf of an entity of which he is a member to receive over $500,000 in payments without priority given to unpaid WSG employee wages over Mr. Scesa's advice to the contrary. Neither Mr. Scesa nor Golden Griffon is a party to any of those agreements. Questions regarding those agreements should be directed to Tim Gary at Crux Strategies, or Maximillian Amster at Veridis Management LLC and/or Trilogy Funding, LLC in Tampa, Florida.
Mr. Scesa has not known what has taken place at WSG or in connection with any legal matters related to WSG since that agreement funding Tim Gary and his related entities was executed in August 2019, except in very limited respects. Mr. Scesa is aware that the amounts funded to Tim Gary's entities are grossly insufficient for WSG to succeed on the merits of any underlying litigation it is pursuing purportedly to satisfy WSG's obligations to its many creditors including its former employees and contracted vendors, among other infirmities with those legal matters.
In February 2020, a formal complaint regarding the actions and legal ethics violations of Tim Gary and other attorneys at Dickinson Wright PLLC related to the above and other matters was filed with the Board of Professional Responsibility of the Supreme Court of Tennessee.
- Sourcing, interacting with and negotiating with prospective purchasers of GPM’s and WSG’s operations to include payment of all outstanding WSG financial obligations including WSG employee payroll
- Sourcing, interacting with and negotiating with prospective bridge / mezzanine financing options for GPM’s and WSG’s operations, and
- Outreach to Federal and state political and regulatory contacts on a variety of matters.
